1. Acceptance of terms

By registering for or using Talent Atrium, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

These terms apply to all users of the platform, including candidates, recruiters, and visitors.

2. About Talent Atrium

Talent Atrium is a structured candidate evaluation and matching platform developed and operated by MJB Strategic.

MJB Strategic is the entity responsible for operating the platform, processing payments, and issuing invoices. References to "Talent Atrium", "we", "us", or "our" throughout these terms refer to MJB Strategic operating under the Talent Atrium product.

The platform provides: - A public job board where candidates can browse and apply to vacancies - A candidate portal for managing profiles, assessments, and applications - A recruiter portal for creating and managing vacancies and reviewing candidate evaluations - An automated evaluation engine that scores candidates against vacancy requirements - Rapid Match functionality that matches candidates against vacancies using pooled candidate data

The platform does not make hiring decisions. All decisions regarding shortlisting, rejection, and hiring remain with the recruiter.

Data processing roles: Talent Atrium acts as the data controller for all personal data collected through the platform. Recruiters who access candidate evaluation data act as independent data controllers for any processing they undertake following review of that data. Each party is responsible for their own compliance with applicable data protection law.

3. Candidate accounts

By creating a candidate account, you confirm that:

- The information you provide, including CV content and assessment responses, is accurate and your own - You are applying to vacancies in good faith - You will not submit applications on behalf of another person without their explicit consent - You will not attempt to manipulate or circumvent the evaluation process

You are responsible for maintaining the confidentiality of your account credentials.

4. Recruiter accounts

By creating a recruiter account, you confirm that:

- You are authorised to post vacancies on behalf of the organisation named in your account - The vacancies you post are genuine and legally compliant - You will not use candidate data for any purpose beyond making a hiring decision for the stated vacancy - You will not share candidate evaluation data with third parties outside your organisation without a lawful basis - You understand that all hiring decisions are your responsibility - You will not make hiring decisions based solely on an automated evaluation score without human review

Recruiters must comply with applicable employment law, anti-discrimination law, and data protection law in their jurisdiction. Recruiters using this platform in jurisdictions with AI-specific employment law requirements (including New York City Local Law 144, Colorado SB24-205, California FEHA, and the Illinois Human Rights Act) are responsible for ensuring their own compliance with applicable obligations in those jurisdictions.

5. Subscriptions, credits, and billing

Talent Atrium operates a credit-based billing model for recruiter accounts. Credits are required to use paid features including candidate matching, CV parsing, and Rapid Match. Billing and payment processing is handled by MJB Strategic.

Subscription plans: - Recruiter accounts may subscribe to a named plan (Starter, Growth, Pro, or Enterprise). Subscriptions are billed in advance and renew automatically on the same day each month based on the original sign-up date. - Each subscription cycle includes a fixed allocation of credits. These subscription credits expire at the end of the billing cycle and do not roll over. - A subscription plan provides access for the full billing period, regardless of credit usage.

Pay-as-you-go: - Recruiters may use the platform on a pay-as-you-go basis without a subscription. Credits are purchased upfront and consumed as features are used. - Pay-as-you-go credits expire six months from the date of purchase and roll over within that period.

Additional purchased credits: - Subscribed recruiters may purchase additional credits beyond their monthly allocation. These purchased credits expire six months from the date of purchase and roll over. - When credits are consumed, subscription credits from the current cycle are used first. Additional purchased credits are consumed only after subscription credits are exhausted.

Credit nature: - Credits are usage units. They are not stored monetary value and are not redeemable for cash. - Credits are allocated immediately upon confirmed payment.

Payment processing: - Payments are processed by Paystack on behalf of MJB Strategic. By purchasing credits or subscribing, you agree to Paystack's terms of service. - We do not store full payment card details. Payment data is handled entirely by Paystack. - Pricing may be displayed in South African Rand (ZAR) or United States Dollars (USD) depending on your location. Taxes may apply where required by law. - We reserve the right to change pricing at any time. Changes will not affect subscriptions or credits already purchased.

Account suspension: - Accounts found to be abusing the credit system, circumventing credit requirements, or engaging in fraudulent activity may be suspended without refund.

6. Cancellation

Subscription cancellation: - You may cancel your subscription at any time from your billing settings. - Cancellation stops future billing. It does not entitle you to a refund for the current billing period. - You retain full access to the platform and all features until the end of the current billing cycle. - At the end of the billing cycle, your subscription credits will expire and subscription access will be removed. - Any additional purchased credits (non-subscription) remain available until their own expiry date.

Example: If your subscription renews on the 5th of each month and you cancel on the 17th, you will not be charged again. You retain full access until the 4th of the following month, at which point access is removed.

Pay-as-you-go accounts have no subscription to cancel. Credits remain available until they expire.

7. Refunds

Payments made for subscriptions, credit purchases, or paid features are generally non-refundable. Once a subscription period begins or credits are allocated, the service is considered delivered and available for use.

Execution-based features: - Features such as Rapid Match, candidate processing, and CV parsing consume credits upon execution. The estimated credit cost is shown before each execution and must be confirmed by the user. Once confirmed and executed, the action is considered completed and credits consumed cannot be recovered or refunded.

Case-by-case review: - If you believe a charge occurred in error, contact us within 14 days and we will investigate. Credit adjustments may be issued at our discretion where a clear system error is identified.

Exceptions: - Refunds may be issued where required by applicable law.

8. Rapid Match disclaimer

Rapid Match is a paid add-on feature that matches candidates or vacancies against a pooled dataset based on specified filters. It operates on a separate credit type from standard processing credits.

Before executing a Rapid Match, the system will display: - The estimated number of matches - The total credit cost - Your current Rapid Match credit balance

By confirming a Rapid Match execution, you acknowledge that: - The match results are generated automatically based on the filters applied - Results depend on the quality and completeness of data in the pool at the time of execution - You are responsible for reviewing match results and making your own hiring or application decisions - Rapid Match credits consumed are non-refundable regardless of the outcome - Talent Atrium makes no guarantee as to the quality, accuracy, or suitability of any match result

9. Acceptable use

You must not use the platform to:

- Post false, misleading, or discriminatory vacancy listings - Submit fraudulent or misrepresented candidate information - Scrape, harvest, or systematically extract data from the platform - Attempt to access accounts, systems, or data that you are not authorised to access - Interfere with the operation of the platform or its evaluation systems - Use the platform for any purpose that violates applicable law - Rely solely on an AI-generated evaluation score to reject a candidate without human review - Use candidate evaluation data to discriminate on the basis of any protected characteristic

10. Intellectual property

The platform, its evaluation systems, AI models, software, design, and content are the intellectual property of MJB Strategic trading as Talent Atrium. You may not copy, modify, distribute, or reverse-engineer any part of the platform without written permission.

Candidate-submitted content (CVs, assessment responses) remains the intellectual property of the candidate. Recruiter-submitted content (vacancy descriptions, requirements) remains the intellectual property of the recruiter. By submitting content to the platform, you grant us a limited licence to process that content for the purpose of providing the service.

11. Third-party conduct and platform intermediary status

Talent Atrium operates as a neutral technology intermediary. The platform enables users to access and interact with job listings and related services. We do not screen, vet, verify, endorse, or guarantee the identity, legitimacy, intentions, conduct, or financial standing of any recruiter, employer, candidate, or third party. We do not verify the accuracy, completeness, or authenticity of any job posting, vacancy listing, or application submitted through the platform.

All job listings, vacancy descriptions, candidate profiles, and communications originate from third parties. These are outside our control and we accept no responsibility for their content, accuracy, or legality.

Risks you should be aware of:

Job platforms are a known target for fraudulent actors. Common fraud patterns include: - Fake job listings designed to collect personal or financial information from applicants - Advance-fee requests, where a candidate is asked to pay money as a condition of receiving an offer, a visa, training materials, or equipment - Identity theft attempts disguised as pre-employment verification or background checks - Phishing communications impersonating legitimate employers or the platform itself

Talent Atrium will never ask a candidate to pay money to apply for, accept, or progress an application. Any recruiter or employer requesting payment as a condition of employment is acting outside the platform's intended use and in potential violation of these terms.

By using the platform, you acknowledge that: - You are solely responsible for conducting appropriate due diligence before acting on any job opportunity or application - You should independently verify the legitimacy of any employer, company, or individual before sharing sensitive personal, financial, or confidential information - You should not attend in-person meetings, share banking details, provide copies of identity documents, or make any payment without first satisfying yourself as to the authenticity and legitimacy of the other party - Talent Atrium is not a party to any agreement, arrangement, or transaction between you and any third party, and assumes no responsibility for the outcome of any such interaction

If you encounter a listing or communication you believe to be fraudulent or in violation of these terms, you should report it to us at connect@www.talentatrium.com. We will investigate and take appropriate action, which may include removing the content and suspending the relevant account. We do not guarantee any particular outcome from an investigation.

12. Limitation of liability

The platform provides evaluation assistance. It does not guarantee employment outcomes for candidates or successful hires for recruiters.

To the fullest extent permitted by applicable law, Talent Atrium and MJB Strategic disclaim all representations, warranties, and guarantees of any kind, whether express, implied, or statutory, including but not limited to any warranties of accuracy, reliability, fitness for a particular purpose, non-infringement, or freedom from error. The platform is provided on an "as is" and "as available" basis. We do not warrant that the platform will be free from errors, interruptions, or fraudulent or malicious actors, or that any job listing is genuine, safe, lawful, or suitable.

To the maximum extent permitted by law, Talent Atrium and MJB Strategic are not liable for:

- Hiring decisions made by recruiters, or the quality, accuracy, or completeness of any evaluation - Outcomes of applications submitted by candidates - Errors or inaccuracies in AI-generated evaluation reports - Loss of data or service interruptions - Recruiter non-compliance with applicable employment, anti-discrimination, or data protection law - The quality, accuracy, or suitability of Rapid Match results - Any direct, indirect, incidental, consequential, special, or punitive damages, including financial loss, loss of opportunity, reputational harm, or personal injury, arising out of or in connection with your use of the platform or your interactions with any third party - Any damages arising from fraud, misrepresentation, deception, impersonation, or unlawful conduct by any third party, whether or not such conduct was foreseeable - Any loss or harm resulting from your failure to conduct appropriate due diligence, or from actions taken in reliance on content or listings accessed through the platform

Nothing in these terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including the Consumer Protection Act 68 of 2008 (South Africa) or any equivalent mandatory consumer protection legislation applicable in your jurisdiction. In all other respects, this clause applies to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Talent Atrium, MJB Strategic, and their respective owners, officers, employees, contractors, affiliates, and representatives (together, the "Indemnified Parties") from and against any and all claims, demands, proceedings, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:

(a) your use of the platform or any feature of it; (b) any content, listing, profile, or communication you submit through the platform; (c) your interactions with any recruiter, employer, candidate, or third party; (d) your breach of these terms or any applicable law or regulation; (e) your failure to conduct appropriate due diligence before acting on any opportunity presented through the platform; (f) any decision made in reliance on information obtained through the platform; or (g) any claim by a third party arising from your use of the platform.

This indemnification obligation survives termination of your account or of these terms.

14. Termination

We reserve the right to suspend or terminate accounts that violate these terms or are used in a manner that harms the platform or other users.

You may close your account at any time from your portal settings. On account closure, your personal data will be deleted in accordance with our Privacy Policy and Data Retention Policy. Unused credits at the time of account closure are forfeited.

15. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email to registered users. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.

16. Governing law

These terms are governed by the laws of the Republic of South Africa. Disputes will be resolved in the courts of South Africa unless applicable law in your jurisdiction requires otherwise.

17. Sharing candidate data

Talent Atrium provides recruiters with the ability to generate shareable links to candidate scorecards and CVs. These links are read-only and require no login. They expire automatically 30 days after creation and can be revoked at any time by the recruiter who created them.

By generating and sharing a link, you as the recruiter accept full responsibility for ensuring it is sent only to the intended recipient. Candidate data shared via recruiter-generated links is transmitted at the recruiter's discretion and risk. Talent Atrium is not liable for any unauthorised access, disclosure, or misuse of candidate information that results from a link being shared beyond its intended recipient.

You must not share candidate data with third parties who do not have a legitimate need to review it for the purpose of the relevant vacancy. Sharing candidate information in a manner that violates applicable data protection law, including the Protection of Personal Information Act (POPIA) in South Africa or the General Data Protection Regulation (GDPR) where applicable, is strictly prohibited and remains the sole legal responsibility of the recruiter.

Candidates whose data appears in a shared scorecard or CV link have not individually consented to that specific share. Recruiters are responsible for ensuring their use of these sharing features complies with all applicable employment and data protection obligations.
